License Agreement
End User License Agreement
Last Updated: August 21, 2026
Oslo, Norway
This End User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and Acon Digital AS (“Acon”) for the Acon software product with which this EULA is supplied, and related components, including computer software, plug-ins, associated media, printed materials, and online or electronic documentation (collectively, the “Software”). “You” and “your” mean you as a user of the Software.
By installing or otherwise using the Software, you agree to be bound by the terms of this EULA.
If you do not agree to the terms of this EULA, do not install or use the Software.
1. Grant of License
Subject to the terms of this EULA, Acon grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software.
Unless otherwise specified by the applicable license type:
- an individual user may install and use the Software on multiple computers or devices owned or controlled by that user, provided the Software is not used simultaneously by more users than the number of purchased licenses permits;
- you may make a reasonable number of backup or archival copies of the Software, provided such copies retain all proprietary notices and are used in accordance with the terms of this EULA;
- evaluation or trial versions of the Software may be used only during the evaluation period specified by Acon or by the Software itself, after which continued use requires purchase of a valid license. In these cases, the Software may stop working or functions may not work unless you purchase a license.
You may not:
- permit unauthorized third parties to use the Software;
- modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Software, except to the limited extent expressly permitted by applicable law notwithstanding this limitation;
- create derivative works based on the Software;
- copy the Software except as expressly permitted under this EULA;
- rent, lease, sublicense, sell, assign, distribute, or otherwise transfer rights to the Software, except where Acon provides prior written consent (which Acon may withhold in its sole discretion), all original components, updates, and backup copies are transferred together, and the recipient agrees in writing to the terms of this EULA;
- remove or alter any proprietary notices or labels on the Software;
- circumvent technical limitations;
- access the Software to build a competing product;
- use the Software to power, operate, or provide any audio processing service or platform to third parties; nor
- unbundle, disassemble, or separately distribute any components, plug-ins, or libraries included with the Software.
You are solely responsible for ensuring that you have the right and authority to submit audio, project files, and related content to the Software.
Title, ownership rights, and intellectual property rights in and to the Software shall remain with Acon and its licensors. The Software is protected by copyright laws and international copyright treaties.
2. Content, Local Processing and User Data
The Software processes audio, project files, and related content locally on your device. Core audio processing and analysis functionality does not require uploading user audio or project content to Acon-operated cloud services. Acon shall not be liable for the integrity or security of data stored, processed, or transmitted on your device.
Acon does not have access to the audio, project files, generated output, presets, or other content that you may process through the Software.
Except as required for license activation, Software updates, technical support, or optional online services explicitly initiated by the user, the Software does not transmit user data to Acon servers.
Any telemetry or diagnostic information collected by the Software, if applicable, is limited to technical and operational information reasonably necessary for licensing, software maintenance, product improvement, security, or support. Such information does not include user audio content or project files unless explicitly submitted by the user for support purposes.
Acon does not claim ownership of any audio, recordings, project files, presets, or other content created, edited, processed, or generated using the Software. All rights in such content remain with their respective owners.
Any personal information processed by Acon shall be handled in accordance with Acon’s applicable Privacy Policy and relevant data protection laws.
AI and Third-Party Integrations: The Software may offer features that integrate with third-party AI models or protocols. The third-party integration will be made available, and you will choose with which third party to integrate. If you enable such a feature, the specific audio, project, or other content you submit to that feature is sent to the relevant third-party provider for the sole purpose of performing the function you requested, in accordance with that provider’s own terms and privacy practices, which you should review before enabling the feature. Content is not sent to any third-party AI model unless you take an explicit action to enable that specific feature, and all other core audio processing continues to run locally on your device. These integrations are distinct from the prohibited use of the Software to power a cloud-based audio processing service for third parties, as described in Section 1.
3. Modules, Updates and Online Features
From time to time, Acon may add, change, or remove certain functionalities of or add-ons to the Software which may also provide you with the ability to perform one or more activities. The current products and functionalities are available at: https://acondigital.com/products. You will decide which features or add-ons to acquire and make the relevant payments for them.
Acon may provide updates, upgrades, patches, bug fixes, or other modifications to the Software. Such updates may be installed automatically or manually and may be subject to additional terms.
Certain optional features of the Software may require internet access or interaction with online services, including connections to third-party AI models via authorized protocols. While these features may leverage external resources, the core audio processing functionality of the Software remains local to your device, and you retain full control over enabling or disabling these external connections.
4. EULA Updates
Acon reserves the right to amend this EULA from time to time. You will be notified of changes via our website or email. Material changes will take effect no earlier than fourteen (14) days after such notification. Your continued installation or use of the Software after that date constitutes acceptance of the amended EULA; if you do not agree to the amended terms, you must stop using the Software. Nothing in this Section limits any mandatory consumer protection rights you may have under the law of your country of residence.
5. Payment
The Software is offered on a license basis, and payment shall be made prior to installation of the Software, unless the Software is provided on a trial-temporary basis.
Acon uses a third-party service provider for the processing of payments and is not liable for the payment processing. You need to accept the terms and conditions of such third-party payment service provider for payment processing. Acon does not store full card data.
6. Third-Party Infringement
You agree to notify Acon immediately in writing if you become aware of any third-party claims or proceedings alleging that the Software infringes upon their intellectual property rights.
You agree to defend, indemnify, and hold Acon and its affiliates harmless from and against any demands, loss, liability, claims, or expenses (including attorneys’ fees) made against Acon by any third party due to or arising out of or related to (a) your use of the Software; (b) your violation of any law or regulation or the rights or good name of any third party, including regarding the content you upload and use in the Software; and (c) violation of this EULA, or your use of the Software to violate any rights of another.
7. Suspension or Termination
Acon reserves the right to suspend or terminate your access to the Software in the event that Acon believes, at its sole discretion, that you have violated this EULA or are using the Software for illegal purposes. Access will be restored if and when the issue has been corrected to Acon’s satisfaction.
This license will terminate automatically if you fail to comply with the terms of this EULA, as determined at Acon’s sole discretion.
Upon termination, you must cease all use of the Software and destroy or remove all copies of the Software in your possession or control. The Software or some of its functions may also stop working at such events.
Sections relating to intellectual property, disclaimers, limitations of liability, privacy obligations, and governing law shall survive termination of this EULA.
8. Disclaimer of Warranties
The Software is provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory, including without limitation any warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Software will operate without interruption or error.
Without limiting the foregoing, Acon, its licensors and third parties do not represent or warrant to you that: (a) your use of the Software will meet your requirements or expectations, (b) your use of the Software will be uninterrupted, timely, secure or free from error, (c) all errors will be corrected, and (d) data provided through the Software will be accurate. Acon and its third-party licensors are not responsible for any issues related to the performance, operation or security of the Software that arise from your data, or third-party data, or services provided by third parties, or transmission of data over networks that Acon does not own, operate or control.
The entire risk arising out of use or performance of the Software remains with you.
Some jurisdictions do not allow limitations on implied warranties, so some of the above limitations may not apply to you, but the provisions in this clause shall apply to the maximum permitted by law. Nothing in this section excludes or limits any mandatory consumer protection rights you may have under the law of your country of residence.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE, OR OTHER COMMERCIAL DAMAGES OR LOSSES ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ACON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACON’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE IN THE ONE-YEAR PERIOD PRIOR TO THE EVENT THAT CAUSED THE LIABILITY.
10. Export Compliance
You agree not to use, export, or re-export the Software in violation of any applicable export control laws, trade sanctions, or regulations.
11. Governing Law
This EULA shall be governed by and construed in accordance with the laws of Norway, excluding its conflict of law principles.
Any disputes arising out of or relating to this EULA shall be subject to the exclusive jurisdiction of Oslo District Court (Oslo tingrett) as the agreed legal venue (verneting).
If you are a consumer residing in the European Union or European Economic Area, the choice of Norwegian governing law and the exclusive jurisdiction of the Norwegian courts in this Section do not deprive you of any protection afforded by mandatory provisions of the law of your country of habitual residence, including your right to bring proceedings before, or be sued in, the courts of that country.
12. Entire Agreement
This EULA constitutes the complete and exclusive agreement between you and Acon concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations relating to the Software or this EULA.
If any provision of this EULA is held to be unenforceable, the remaining provisions shall remain in full force and effect.
